Terms & Conditions of Sale
1. About Us
Modulo ("we", "our", "us") is an online retailer. We source and supply products manufactured by third-party manufacturers and distributors.
Unless expressly stated, Modulo does not manufacture the products it sells and does not provide a kitchen or bathroom design service.
2. Scope
These Terms apply to all purchases made through the Modulo website. By placing an order you confirm that you have read and accepted these Terms.
3. Customer Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract.
4. Product Information
Product descriptions, photographs, CGI images, dimensions and specifications are provided for guidance only.
Natural materials may vary.
Colours displayed on screens may differ from the finished product.
Manufacturers may amend specifications without notice.
5. No Design Service
Modulo does not produce kitchen layouts, plans, elevations or designs.
Customers are solely responsible for selecting products, quantities and finishes suitable for their own project.
Any guidance given by Modulo is general product information only and must not be relied upon as design or installation advice.
6. Customer Responsibilities
Customers are responsible for:
• checking all product dimensions before ordering;
• ensuring products are compatible with one another;
• ensuring adequate quantities are ordered;
• confirming suitability for their intended installation;
• complying with all manufacturer instructions.
Modulo accepts no responsibility for customer ordering errors.
7. Orders
An order placed through the website constitutes an offer to purchase.
No contract exists until Modulo accepts the order by Order Acceptance or Dispatch Confirmation.
We may refuse or cancel orders before acceptance including pricing errors, suspected fraud, supplier availability or delivery restrictions.
8. Prices & Payment
All prices are those shown at checkout unless an obvious error has occurred.
Payment must be received before goods are ordered unless agreed otherwise.
Ownership passes only after cleared payment has been received in full.
9. Supplier Availability
Products remain subject to availability.
Manufacturers may discontinue products, revise specifications or replace items with updated versions.
Where appropriate we may offer an equivalent alternative or refund.
10. Delivery
Delivery dates are estimates.
We are not liable for delays caused by manufacturers, transport providers or events beyond our reasonable control.
Customers must ensure suitable access and adequate storage.
Failed deliveries caused by customer error may incur additional charges.
11. Inspection of Goods
Customers must inspect all deliveries immediately.
Visible damage should be reported within 48 hours.
Concealed damage or shortages should be reported within 7 days.
Goods must not be installed until inspected.
12. Installation
Products should only be installed by competent persons.
Products that have been installed, assembled, cut, drilled, painted or otherwise modified are deemed accepted except where a latent manufacturing defect could not reasonably have been been discovered beforehand.
Modulo is not responsible for installation costs, removal costs, contractor costs or project delays except where required by law.
13. Consumer Cancellation Rights
Where the Consumer Contracts Regulations apply, consumers may exercise their statutory cancellation rights.
Returned goods must be unused, complete, unassembled and suitable for resale.
Customers are responsible for return carriage unless legislation states otherwise.
We may reduce refunds where handling exceeds that reasonably required to inspect the goods.
14. Returns
Return requests require prior authorisation.
Returns will normally not be accepted for goods that have been installed, assembled, damaged, modified or are unsuitable for resale unless faulty or where required by law.
Returned goods must be adequately packaged.
15. Faulty Goods
Faults should be reported promptly with supporting photographs where requested.
Modulo may inspect goods or request inspection by the manufacturer.
Where a valid fault exists we may repair, replace or refund in accordance with the Consumer Rights Act 2015.
16. Manufacturer Warranties
Manufacturer warranties remain the responsibility of the manufacturer.
Modulo will reasonably assist customers with warranty claims but does not extend those warranties.
17. Product Variations
Reasonable manufacturing tolerances, colour variation, texture variation, grain variation, veining, sheen differences and batch variation are normal and do not constitute defects.
18. Limitation of Liability
Nothing in these Terms excludes liability that cannot legally be excluded.
Subject to applicable law Modulo shall not be liable for indirect or consequential losses including loss of earnings, accommodation, contractor charges, business interruption, delay costs or similar losses.
19. Force Majeure
We are not responsible for delay caused by events beyond our reasonable control including transport disruption, shortages, industrial action, severe weather, pandemics, government action or supplier failure.
20. Intellectual Property
All website content including text, graphics, logos and images remains the intellectual property of Modulo or its licensors and may not be reproduced without permission.
21. Privacy
Personal information is handled in accordance with the Modulo Privacy Policy.
22. General
If any provision is found unenforceable the remaining provisions remain effective.
Failure to enforce any provision shall not amount to a waiver.
These Terms represent the entire agreement relating to the sale of products.
23. Governing Law
These Terms are governed by the laws of Scotland unless otherwise stated.
